Terms of Service

1. Acceptance of Terms

By creating an account or using any Solace product (Solace Browser, Solace CLI, or solaceagi.com), you agree to these Terms of Service. If you do not agree, do not use the service.

These terms apply to all users: Free tier, Managed LLM, Pro, and Enterprise.

2. Acceptable Use Policy

Solace may be used for legal, ethical automation of your own workflows. You agreenotto use Solace to:

• Send spam, phishing messages, or unsolicited bulk communications
• Violate any applicable law — including copyright, securities regulation, or privacy law
• Attack, probe, or attempt to compromise other systems or networks
• Misrepresent your identity, create fake accounts, or impersonate others
• Scrape or harvest data from third-party services without those services' permission
• Circumvent authentication, rate limits, or access controls on third-party platforms
• Generate or distribute content that is harmful, abusive, or discriminatory
• Use the Managed LLM routing for illegal or explicitly harmful content generation

Violations are handled progressively: warning first, then account suspension, then permanent termination. We will never sell your data to law enforcement, but we will cooperate with valid legal requests as required by law.

3. Service Availability

We operate on a best-effort basis:

• Free Tier:No uptime guarantee. No SLA. Service may be interrupted for maintenance at any time.
• Starter ($8/month):No uptime guarantee. No SLA. Best-effort availability.
• Pro ($28/month): Target 99.5% uptime. No contractual SLA. We will communicate planned downtime in advance.
• Team ($88/month): Target 99.5% uptime. No contractual SLA. Priority incident response.
• Enterprise ($188/month):SLA available upon request. Negotiated per contract.

Solace Browser (the local browser agent) runs entirely on your machine and is not subject to cloud availability. Local execution is always available regardless of solaceagi.com status.

4. User Responsibilities

Your API Keys

If you use the BYOK (Bring Your Own Key) option, you are responsible for:

• Keeping your Anthropic, OpenAI, Together.ai, or other API keys secure
• Monitoring your API key usage and costs with the respective provider
• Revoking and rotating keys if you believe they have been compromised
• Complying with each API provider's own terms of service

We store your BYOK keys encrypted locally using AES-256-GCM. We never transmit them to our servers. You are fully responsible for the security of your local machine and vault.

Your Data

You are responsible for:

• The content you process through Solace and its compliance with applicable laws
• Ensuring you have the right to access and automate the accounts you connect (Gmail, Slack, LinkedIn, etc.)
• Reviewing agent actions in the preview step before approving execution
• Maintaining backups of any data you cannot afford to lose
• Setting appropriate retention policies for your evidence bundles

Account Security

You are responsible for maintaining the security of your Solace account. If you believe your account has been compromised, contact us immediately atlegal@solaceagi.com.

5. Intellectual Property

Your Content

You own everything you put into Solace. We make no claim of ownership over your data, recipes, or workflow outputs. See ourPrivacy Policyfor full details on what we collect and what we never touch.

Open-Source Components

Stillwater CLI is open-source under the Apache 2.0 license. You may run it, deploy it, modify it, and contribute improvements. The private Solace CLI extensions (OAuth3 vault, twin orchestration) are proprietary.

Solace Platform

The Solace name, logo, platform code, and proprietary features are the intellectual property of Phuc Labs. You may not copy, modify, or redistribute proprietary components without written permission.

6. Pricing and Billing

• Free:Local-only execution, free forever. No credit card required.
• Starter ($8/month):Managed LLM routing via Together.ai/OpenRouter. No API key needed. 25 e-signs/month, 30-day cloud evidence.
• Pro ($28/month):Cloud twin + OAuth3 vault + 90-day Part 11 evidence + 100 e-signs/month + REST API.
• Team ($88/month):5 seats + 500 e-signs/month + 1-year evidence retention + private recipe store.
• Enterprise ($188/month):SOC2 audit + 25 seats + unlimited e-signs + SSO + dedicated nodes. SLA available.

Billing:Subscriptions are charged monthly or annually, in advance. LLM credits are charged per use.

Cancellation:You may cancel at any time from your dashboard. Your subscription remains active until the end of the billing period. No prorated refunds for partial months.

Fair Price Guarantee:If you are charged in error, contact us within 30 days and we will refund and fix the issue promptly.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Solace is provided "as is" without warranty of any kind, express or implied
• We do not warrant that the service will be error-free, uninterrupted, or meet your specific requirements
• We are not liable for indirect, incidental, special, or consequential damages (including lost profits or data loss) arising from your use of Solace
• Our total liability for any claim arising from these terms or your use of the service is limited to the amount you paid us in the 12 months preceding the claim

We ARE responsible for keeping your tokens encrypted, implementing fail-closed safety gates, providing transparent evidence trails, and notifying you promptly of any security incidents that affect your data.

8. Termination

By You

You may close your account at any time via Account Settings → Delete Account. Upon deletion, all your cloud data is permanently removed within 30 days. Local data in~/.solace/remains on your machine and must be deleted manually.

By Us

We reserve the right to suspend or terminate accounts that violate the Acceptable Use Policy (Section 2). We will provide advance warning except in cases of severe violations (illegal activity, active attacks, or fraud). Upon termination, you will have 14 days to export your data before it is deleted.

9. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions.

Any disputes will first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding mediation in San Francisco, California, before proceeding to arbitration or litigation. This process saves time and cost for both parties.

If you are located in the European Union, nothing in these terms limits rights you have under applicable EU consumer protection law.

10. Age Requirements and COPPA Compliance

Solace is designed for users aged13 and older. We do not knowingly collect, use, or disclose personal information from children under 13, in compliance with the Children's Online Privacy Protection Act (COPPA).

• Users must be at least 13 years old to create an account or use any Solace product
• An age verification check is presented on first use of Solace Browser
• If we discover that a user under 13 has created an account, we will promptly delete the account and all associated data
• Parents or guardians who believe their child has provided personal information to Solace should contact us atprivacy@solaceagi.com

If you are between 13 and 18, we recommend using Solace with the knowledge and consent of a parent or guardian.

11. Changes to These Terms

We may update these terms as the platform evolves. If we make material changes:

• We will notify you by email at least 30 days before the change takes effect
• Continued use after the effective date constitutes acceptance of the new terms

We will never:Reduce your data ownership rights, claim ownership of your data, or lock you in without fair notice.
