Terms of Service

These Terms govern your use of Solace AGI ("Solace", "we"), a service of Phuc Labs, Inc. (d/b/a Solace AGI), 30 Saint Margaret St., Boston MA 02125. Solace operates a customer-owned AI technology department: we supply data, run workflows, and build software that our customers own. These Terms are written in plain language and are intended to implement — not contradict — the Ownership Covenant.

1. The service

Solace provides a managed technology department delivered through the Solace runtime, canonical AI workers, the Solace Browser, and related tooling. We operate this on your behalf and route all network activity through solaceagi.com. You do not receive a self-serve seat license; you engage an operating level for your business.

2. Subscriptions and billing

  • Engagements start with a one-time Technology Department Pilot and continue at a monthly operating level (Foundation, Department or Network), as listed on pricing and stated in your order. We do not bill per human seat.
  • Plans are paid. There is no free tier or free trial. A scoping conversation is a pre-sales discussion, not a free service tier.
  • Your order states which model usage, infrastructure and third-party costs are included in the monthly level and which are passed through at cost. There is no blanket all-inclusive promise.
  • Self-host or air-gapped deployment is available as a premium option under a separate license.
  • Fees, renewal terms, and any setup fees are stated in your order or invoice, which controls if it conflicts with general marketing copy.

3. Ownership of work product

This section implements the Ownership Covenant. As between you and Solace:

You own

  • your original data and any customer-specific enrichment of it;
  • customer-specific code, custom applications (web, mobile, kiosk), and infrastructure definitions built for you;
  • your workflows and their definitions, your tenant canon, prompts, and configurations;
  • generated deliverables, your evidence trail, and related documentation.

Solace assigns to you all rights it holds in the above customer-specific work product, effective on creation, subject to your payment of the fees due for the period in which it was created.

Solace owns

  • the generic runtime, orchestration framework, shared libraries, and generic connectors;
  • the WorldData platform and general Software 5.0 machinery;
  • improvements that are not specific to your business.

We grant you a license to use Solace-owned components to the extent needed to run your customer-specific software, including after termination for components embedded in deliverables you own.

4. Delegated access

Where you authorize Solace to act on your accounts or platforms, you grant a limited, revocable delegated authority for that purpose. We use OAuth 2.0-compatible mechanisms where available, record an evidence trail, and honor platform terms and applicable robots/permission signals. You may revoke delegated access at any time; doing so may limit or stop affected workflows.

5. Acceptable use

You will not use Solace to violate law, infringe rights, or breach a third-party platform's terms. You are responsible for the lawfulness of the data you supply and the outreach you authorize.

6. Data protection

Our handling of data is described in the Privacy Policy. Solace is designed to keep each customer's data in its own tenant scope; enforcement of that separation is still in progress, and its current status is published on the Trust page. Solace keeps public/licensed market data (WorldData) separate from your private records. For qualifying engagements, a Business Associate Agreement or additional data-processing terms are available as a contracted option.

7. Term, termination, and exit

Either party may terminate as stated in your order. On termination, and consistent with the Ownership Covenant, you are entitled to receive your repository, a full data export, your workflow definitions, documentation, your complete evidence history, applicable infrastructure files, a transition package, and the rights needed to keep running your customer-specific software. We will not withhold your owned assets as leverage.

8. Warranties and liability

Solace provides the service with reasonable skill and care. Except as expressly stated, the service is provided "as is". To the extent permitted by law, neither party is liable for indirect or consequential loss, and each party's aggregate liability is limited as stated in your order (or, absent an order term, to the fees paid in the twelve months preceding the claim). Nothing limits liability that cannot lawfully be limited.

9. Changes and precedence

We may update these Terms; material changes will be notified. If a signed order or agreement conflicts with these Terms, the signed document controls. We maintain these Terms to align with the Ownership Covenant; if the two ever diverge, we will correct the Terms toward the Covenant, not weaken the Covenant.
